The joint venture is currently jointly controlled by Louis Dreyfus Company B.V. and Amaggi, each holding 50% of the voting rights. The joint venture originates and commercialises soybeans and corn produced in Brazil, as well as renders services of storage, elevation, and the loading of agricultural commodities. In the European Economic Area (EEA), the joint venture is only active in the wholesale of soybeans. Zen-Noh markets agricultural and livestock products produced by its members, and supplies them with necessary materials such as feed and fertilizers.
The Commission concluded that the proposed acquisition would raise no competition concerns because the joint venture has negligible activities in the EEA and the transaction will not change the current structure of the soybean market segment. The transaction was examined under the simplified merger review procedure.
